Refund & Cancellation Policy

Dark Zen, L.L.C. (“DarkZen,” “we,” “us,” or “our”) provides curated yoga, wellness, cultural, and retreat experiences through DarkZen.yoga. This Refund & Cancellation Policy explains the cancellation, refund, transfer, and credit terms that apply to purchases made through our website.

This policy applies separately to DarkZen events and retreats and DarkZen Shop products.

1. Events & Retreats

DarkZen events and retreats require advance commitments and reservations with accommodations, retreat centers, teachers, transportation providers, activity providers, and other third parties. Some of these costs become non-refundable once a reservation is made.

Because of these commitments, refunds are determined according to the cancellation schedule below.

Cancellations 15 or More Days Before the Event

Participants who cancel 15 or more calendar days before the scheduled start date of an event or retreat are eligible for a refund of amounts paid to DarkZen, less any non-refundable third-party costs that DarkZen has already paid or become contractually obligated to pay on the participant’s behalf and cannot recover.

DarkZen will make reasonable efforts to recover refundable amounts from third-party providers before calculating the final refund.

For purposes of this policy, the cancellation period is calculated from the scheduled start date of the event, regardless of the participant’s planned arrival date.

Example: If an event begins on December 22, a cancellation received on or before December 7 qualifies for the 15-or-more-day cancellation period. A cancellation received on December 8 falls within the 14-day cancellation period.

Cancellations 14 Days or Fewer Before the Event

Cancellations received 14 calendar days or fewer before the scheduled start date are not eligible for a full refund.

DarkZen will calculate the refundable amount by deducting non-refundable or unrecoverable costs associated with the participant’s booking, including, but not limited to:

  • Hotel and accommodation reservations;

  • Retreat-center fees;

  • Activity and excursion reservations;

  • Transportation arrangements;

  • Meals or catering commitments;

  • Teacher or instructor fees; and

  • Other third-party services specifically reserved for the participant.

Any portion of the participant’s payment that remains after these unrecoverable costs may be refunded to the original payment method.

If a refund is not available, or if the participant chooses a future-event credit instead of an available refund, the eligible remaining value may be transferred to a future DarkZen event under the terms described below.

Cancellation Calculation

The amount of any refund will be calculated as follows:

Amount Paid to DarkZen
− Non-refundable or unrecoverable third-party costs = Refundable Amount

DarkZen will not retain amounts that are recoverable from third-party providers solely because a participant canceled.

2. Transfer to a Future DarkZen Event

When a participant is eligible for a future-event credit under this policy, the eligible amount may be applied toward a future DarkZen event or retreat.

Unless otherwise agreed in writing:

  • The credit may only be used toward a future event offered by DarkZen.

  • The credit is not redeemable for cash once issued.

  • The credit is not refundable after it has been applied to a future event.

  • The credit may not be transferred to another person without written approval from DarkZen.

  • The credit must be used within 12 months from the date it is issued.

  • If the future event costs more than the credit amount, the participant must pay the difference before booking.

  • If the future event costs less than the credit amount, the unused balance will remain available for use toward another eligible DarkZen event during the original 12-month credit period.

  • Any new booking made using the credit is subject to the cancellation policy applicable to that new event.

Any non-refundable third-party costs associated with the original booking will not be included in the future-event credit.

3. Partial Cancellations and Group Bookings

If a booking includes multiple participants and only some participants cancel, the cancellation policy will be applied separately to each participant who cancels.

However, a partial cancellation may affect the accommodation or other arrangements for the remaining participants.

For example, if a booking was based on two or more people sharing a room, cancellation of one participant may result in the remaining participant becoming responsible for a higher single-occupancy accommodation rate if the accommodation provider charges a different rate.

Any additional cost resulting from a participant’s cancellation will be the responsibility of the remaining participant or participants.

Refunds for the canceled participant will be calculated according to the applicable cancellation period and the actual non-refundable or unrecoverable costs associated with that participant’s booking.

4. Deposits

If DarkZen offers an event or retreat with a deposit or installment payment option, the applicable booking page or purchase agreement will clearly state the required deposit amount and whether the deposit is refundable.

Unless the applicable booking terms specifically state otherwise, a deposit is treated as part of the total amount paid toward the event and is subject to the same cancellation policy as the remainder of the booking.

Any special deposit terms displayed at the time of purchase will form part of the participant’s booking agreement.

5. No-Shows, Late Arrivals, and Early Departures

No refund or future-event credit will be provided for:

  • Failure to attend an event or retreat;

  • Failure to arrive at the scheduled location;

  • Late arrival;

  • Early departure;

  • Voluntary absence from scheduled activities;

  • Failure to use accommodations;

  • Failure to use included meals, activities, transportation, or other services; or

  • Leaving an event voluntarily after it has begun.

The participant remains responsible for the full amount of the booking unless another provision of this policy expressly applies.

6. Changes Requested by the Participant

Requests to change dates, accommodations, room arrangements, or other booking details are not automatically treated as cancellations.

DarkZen will make reasonable efforts to accommodate requested changes when possible. However, any additional costs, price differences, or non-refundable charges resulting from a participant-requested change are the responsibility of the participant.

A requested date change is subject to availability and must be confirmed by DarkZen in writing.

7. Cancellation or Changes by DarkZen

DarkZen reserves the right to cancel, postpone, reschedule, relocate, or materially modify an event or retreat when reasonably necessary, including due to:

  • Insufficient enrollment;

  • Instructor or teacher availability;

  • Venue or accommodation availability;

  • Natural disasters;

  • Severe weather;

  • Government restrictions;

  • Transportation disruptions;

  • Public health circumstances;

  • Political or civil disruptions; or

  • Other circumstances beyond DarkZen’s reasonable control.

If DarkZen Cancels an Event

If DarkZen cancels an event and does not provide a reasonably comparable alternative date, participants will be offered:

Option 1 — Refund:
A refund of amounts paid directly to DarkZen for the canceled event, less any non-refundable third-party costs that DarkZen has already paid or become contractually obligated to pay and cannot recover.

Option 2 — Future Event Credit:
A credit equal to the amount that would otherwise be refundable under Option 1, subject to the Future Event Credit terms in Section 2.

DarkZen will communicate the available options to affected participants.

DarkZen is not responsible for expenses purchased independently by a participant, including:

  • Airfare;

  • Visas;

  • Travel insurance;

  • Independently booked accommodation;

  • Independent transportation;

  • Lost travel expenses; or

  • Other costs not paid directly to DarkZen.

Participants are strongly encouraged to purchase travel insurance that includes appropriate trip cancellation and interruption coverage.

8. Third-Party Services

Some services included in DarkZen events may be provided by independent third parties, including accommodations, transportation providers, yoga teachers, massage practitioners, activity providers, restaurants, and retreat centers.

DarkZen will make reasonable efforts to obtain refunds or credits from third-party providers when a participant cancels.

However, DarkZen cannot refund amounts that have already been paid to or retained by a third party and cannot be recovered.

Third-party costs will only be deducted from a participant’s refund when those costs are actually non-refundable or otherwise unrecoverable.

9. DarkZen Shop — Print-on-Demand Products

DarkZen Shop products are frequently made to order and fulfilled by independent third-party print-on-demand providers.

Because these products are manufactured specifically in response to an order, all DarkZen Shop purchases are final once an order enters production.

The following are not eligible for cancellation, refund, or exchange:

  • Change of mind;

  • Incorrect size selected by the customer;

  • Incorrect color or design selected by the customer;

  • Ordering the wrong product;

  • Personal preference regarding the product; or

  • Failure to review product details before placing an order.

Order Cancellation Before Production

If a customer requests cancellation before an order has entered production, DarkZen will make reasonable efforts to cancel the order.

However, cancellation is not guaranteed because orders may be transmitted to the third-party fulfillment provider immediately after purchase.

If the third-party provider confirms that the order can be canceled before production, DarkZen will issue a refund of the amount successfully recovered from the provider.

10. Damaged, Defective, or Incorrect Shop Products

If a product arrives:

  • Damaged;

  • Defective;

  • Misprinted;

  • Incorrectly manufactured; or

  • Materially different from the product ordered, the customer should contact DarkZen promptly after receiving the order.

The customer may be required to provide:

  • Order number;

  • Description of the problem;

  • Photographs of the product; and

  • Photographs of the packaging, where applicable.

DarkZen will submit the issue to the applicable third-party fulfillment provider.

If the provider determines that the product was defective, damaged during fulfillment or shipping, or incorrectly produced, the provider’s available remedy will generally be a replacement or refund, depending on the circumstances and provider policy.

Customers will not be required to pay again for a replacement resulting from an approved manufacturing or fulfillment error.

11. How to Request a Cancellation or Refund

All cancellation and refund requests must be submitted to DarkZen in writing through the contact information provided on DarkZen.yoga.

A request should include:

  • Full name;

  • Order or booking number;

  • Name and date of the event or product purchased; and

  • Reason for the cancellation or refund request.

For event cancellations, the applicable cancellation period is determined by the date DarkZen receives the written cancellation request.

A request submitted after the applicable cancellation deadline will be treated according to the cancellation period in effect when the request is received.

12. Refund Processing

Approved refunds will generally be issued to the original payment method used for the purchase.

DarkZen will initiate an approved refund within 10 business days after the refund amount has been determined and any necessary third-party refund information has been received.

The time required for the funds to appear in the customer’s account may vary depending on the payment processor, bank, or financial institution.

Payment-processing or third-party fees that cannot be recovered by DarkZen may be deducted from the refundable amount where permitted by applicable law.

13. Extraordinary Circumstances

DarkZen understands that unexpected circumstances can arise.

Requests involving serious emergencies, significant travel disruptions, or other extraordinary circumstances will be reviewed based on the applicable circumstances, third-party cancellation obligations, and costs already incurred.

An exception to the standard cancellation schedule is not guaranteed and will only apply if confirmed by DarkZen in writing.

The availability of an exception in one situation does not create a right to an exception in another situation.

Participants are strongly encouraged to purchase travel insurance that provides appropriate coverage for cancellation, interruption, illness, emergencies, and other travel-related losses.

14. No Waiver of Legal Rights

Nothing in this Refund & Cancellation Policy is intended to waive, limit, or exclude any rights or remedies that cannot legally be waived or excluded under applicable law.

Where applicable law provides a consumer with greater cancellation, refund, or other rights than those stated in this policy, those legal rights will apply.

15. Policy Changes

Dark Zen, L.L.C. reserves the right to update this Refund & Cancellation Policy from time to time.

The version of the policy applicable to a purchase will generally be the version in effect on the date the purchase or booking was made, unless a change is required by applicable law.

16. Acceptance of This Policy

By purchasing an event, retreat, program, or product through DarkZen.yoga, the customer acknowledges that they have had an opportunity to review and agree to the applicable terms of this Refund & Cancellation Policy.

For events and retreats, this policy should be read together with DarkZen’s Terms & Conditions and Retreat Participant Agreement, where applicable.
