These Terms & Conditions (“Terms,” “Agreement,” or “Terms and Conditions”) govern your access to and use of the DarkZen website, online store, books and digital products, retreats, wellness experiences, yoga-related services, marketing and referral services, and any other products or services offered through DarkZen.

By accessing our website, creating an account, submitting an inquiry, making a purchase, registering for a retreat or program, purchasing a product, making a donation, or otherwise using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree with these Terms, please do not use the website or purchase our products or services.

Where DarkZen acts as a marketing, referral, booking, or coordination partner for an independent third-party provider, that provider may have its own terms, policies, waivers, and requirements. Those terms may apply in addition to these Terms.

2. Eligibility

You must be legally capable of entering into a binding agreement in your jurisdiction to use our services or make purchases.

By using the website, you represent that:

You are legally permitted to enter into this Agreement.
All information you provide is accurate and current.
You will use the website and services lawfully.

If you are purchasing a service or product on behalf of another person, you represent that you have authority to do so and agree that both you and the person receiving the service will comply with applicable terms.

Website content may include descriptions of retreats, teachers, accommodations, activities, schedules, products, travel arrangements, facilities, locations, and third-party providers. These descriptions are provided for informational purposes and may change because of weather, availability, operational circumstances, safety considerations, local conditions, provider decisions, or other circumstances beyond our control.

Photographs are intended to provide a general representation of products, locations, accommodations, and experiences. Actual colors, furnishings, room configurations, facilities, views, and conditions may vary.

5. Retreats, Yoga Programs And Wellness Experiences

DarkZen may market, coordinate, facilitate, or sell access to yoga retreats, wellness retreats, teacher training programs, cultural experiences, excursions, accommodations, transportation, workshops, and related activities.

The specific description, inclusions, exclusions, dates, location, accommodation, meals, activities, schedule, and price applicable to a particular program will be stated on the applicable booking or program page.

The terms applicable to a particular retreat or program may include:

The applicable Refund & Cancellation Policy;
The retreat or program description;
Any booking confirmation;
Any separate participant waiver;
Terms imposed by the retreat center, teacher, accommodation provider, transportation provider, or other third-party service provider.

In the event of a conflict, mandatory applicable law will prevail. Where permitted by law, the specific written booking terms for the applicable service will govern that service.

6. DarkZen’s Role In Third-Party Programs

Some programs, retreats, teacher trainings, accommodations, transportation services, wellness services, or experiences promoted through DarkZen may be provided by independent third parties.

Unless expressly stated otherwise, DarkZen is not the owner, operator, employer, instructor, accommodation provider, transportation provider, medical provider, or direct service provider for every component of a third-party program.

Where applicable, DarkZen acts as a marketing, referral, booking, communication, or coordination partner.

Third-party providers remain responsible for the services they independently provide.

Where a third-party provider is the actual service provider, you may be required to accept that provider’s own terms, waivers, policies, or participant agreements.

We encourage you to review those terms carefully before participating.

7. Retreat And Program Availability

A program is not considered confirmed until payment has been successfully received and DarkZen or the applicable provider has issued a written booking confirmation.

Availability displayed on the website is subject to change until a booking is confirmed.

We reserve the right to correct pricing, availability, scheduling, or listing errors before confirmation.

If an obvious pricing or availability error occurs, we may contact you to provide the correct information and offer you the option to proceed under the corrected terms or receive a refund of amounts paid for the affected booking, where required or permitted by law.

8. Program Schedules And Changes

Retreat and program schedules are subject to reasonable change.

Activities may be modified, substituted, rescheduled, relocated, or cancelled due to:

Weather;
Natural events;
Local conditions;
Government requirements;
Safety concerns;
Instructor or provider availability;
Transportation issues;
Facility conditions;
Health or emergency circumstances;
Force majeure events; or
Other circumstances outside reasonable control.

Where a comparable alternative can reasonably be provided, we may substitute an activity or service.

We do not guarantee that every advertised activity will occur exactly as originally scheduled.

9. Yoga, Fitness, Wellness And Health Disclaimer

Yoga, meditation, pranayama, breathwork, massage, Ayurveda-related services, sound healing, physical activities, excursions, and other wellness practices may involve physical, psychological, emotional, or other risks.

Participation is voluntary.

Our services are intended for general educational and wellness purposes and are not medical treatment, diagnosis, psychotherapy, or a substitute for professional medical care.

You are responsible for determining whether participation is appropriate for you.

You should consult a qualified physician or other appropriate healthcare professional before participating if you have any medical condition, injury, disability, pregnancy, medication-related concern, or other circumstance that may affect your ability to participate safely.

You must promptly inform the appropriate instructor or provider of relevant physical limitations, injuries, health concerns, allergies, dietary restrictions, or other conditions that may affect your participation.

You agree not to participate in activities that you reasonably believe may be unsafe for you.

Nothing on our website or provided during a retreat should be interpreted as medical advice.

10. Ayurveda And Other Traditional Wellness Practices

Ayurvedic consultations, traditional wellness practices, herbal recommendations, massage, bodywork, and related services are provided for educational and traditional wellness purposes unless expressly provided by a properly licensed healthcare professional acting within the scope of applicable law.

Such services are not a substitute for diagnosis or treatment by a qualified medical professional.

DarkZen does not guarantee any particular health, therapeutic, spiritual, emotional, physical, or medical outcome.

You are responsible for informing practitioners of relevant allergies, medications, health conditions, pregnancy, dietary restrictions, and other circumstances that could affect your safety.

11. Travel Responsibilities

Unless expressly included in a specific booking, you are responsible for arranging and paying for:

International and domestic airfare;
Visas and immigration requirements;
Travel insurance;
Vaccinations or health documentation;
Passport and travel documents;
Personal expenses;
Additional transportation;
Medical expenses;
Personal purchases;
Additional accommodation;
Travel delays or missed connections.

You are responsible for ensuring that your passport, visa, permits, insurance, and other travel documents are valid.

Any travel information provided by DarkZen is general information and should be independently verified with the relevant government authority, embassy, consulate, airline, insurer, or other appropriate authority.

DarkZen does not guarantee visa issuance, immigration entry, flight availability, border access, or airline operations.

12. Travel Insurance

We strongly recommend that participants obtain comprehensive travel insurance before traveling.

Coverage should be considered for, as applicable:

Trip cancellation;
Trip interruption;
Medical treatment;
Emergency evacuation;
Lost or delayed baggage;
Travel delays;
Personal liability;
Natural disasters;
Unexpected illness or injury.

DarkZen is not responsible for expenses that could have been covered by appropriate travel insurance.

13. Participant Responsibilities

Participants are expected to behave respectfully and responsibly.

You agree to:

Follow reasonable instructions from instructors, staff, guides, accommodation providers, and activity leaders.
Respect local customs, laws, culture, religious practices, property, and community members.
Treat other participants respectfully.
Follow safety instructions.
Avoid disruptive, abusive, threatening, discriminatory, or harassing conduct.
Avoid behavior that places yourself or others at unreasonable risk.
Respect accommodation rules.
Be responsible for your personal belongings.
Notify appropriate staff of safety concerns or incidents.

We reserve the right, to the extent permitted by law, to remove or exclude a participant whose conduct creates a safety concern, materially disrupts a program, damages property, violates applicable law, or materially interferes with other participants’ experience.

In such circumstances, additional costs associated with departure, transportation, accommodation, or other arrangements may be the participant’s responsibility, subject to applicable law and the applicable cancellation policy.

14. Personal Belongings

You are responsible for your personal belongings and valuables.

DarkZen and participating third-party providers are not responsible for loss, theft, damage, or disappearance of personal property except to the extent liability cannot lawfully be excluded.

We recommend keeping passports, money, electronics, medications, and other valuables secure.

15. Accommodation

Accommodation descriptions are intended to provide a general representation of the facilities and amenities available.

Accommodation may be provided by independent third parties.

Room assignments, views, furnishings, facilities, maintenance, availability, and operational conditions may change.

Accommodation providers may maintain their own terms, rules, deposits, check-in/check-out requirements, damage policies, and conduct requirements.

Participants are responsible for damage caused by their own intentional or negligent conduct, subject to applicable law.

16. Food And Dietary Requirements

Where meals are included, the type and number of meals will be stated in the applicable program description.

Participants are responsible for informing us of relevant dietary restrictions and allergies before arrival.

Although reasonable efforts may be made to accommodate dietary needs, we cannot guarantee that food will be completely free from allergens or cross-contamination unless expressly confirmed in writing.

Participants with serious allergies or medical dietary requirements should communicate directly with the applicable food provider and take appropriate precautions.

17. Payments

Prices are displayed in the currency specified on the applicable sales or booking page unless otherwise stated.

You agree to provide accurate billing and payment information.

Payments must be successfully processed before a purchase or booking is considered confirmed.

Payment processing may be handled by independent third-party payment processors. Those processors may have their own terms and privacy practices.

We do not intentionally retain complete payment-card information where payment processing is handled by a third-party processor.

18. Taxes, Fees And Currency

Prices may be subject to applicable taxes, duties, transaction fees, foreign-exchange charges, bank fees, or other charges.

Unless expressly stated otherwise, you are responsible for charges imposed by your bank, card issuer, payment provider, government, or other third party.

International customers should understand that the amount charged by their bank may differ from the displayed price because of currency conversion.

19. Refunds And Cancellations

Refunds, cancellations, transfers, credits, and changes are governed by the applicable Refund & Cancellation Policy published on our website and/or provided at the time of booking.

Because different products and services may have different cancellation conditions, the applicable policy may vary depending on the purchase.

Before purchasing a retreat, program, product, or other service, you should review the applicable cancellation and refund terms.

Nothing in these Terms is intended to exclude rights or remedies that cannot lawfully be excluded under applicable consumer-protection law.

20. Events Outside Our Control

DarkZen is not responsible for delay, cancellation, interruption, loss, or additional expense resulting from circumstances beyond our reasonable control, including:

Natural disasters;
Floods;
Earthquakes;
Extreme weather;
Epidemics or pandemics;
War;
Terrorism;
Civil unrest;
Government restrictions;
Border closures;
Strikes;
Transportation disruptions;
Power or telecommunications failures;
Fire;
Acts of God;
Changes in law;
Public-health emergencies;
Supplier or third-party failures; or
Other events that could not reasonably have been prevented or overcome.

Where an event materially affects a service, we will make reasonable efforts to communicate available alternatives.

Any refund or credit will be determined according to the applicable cancellation policy, the terms of the affected service provider, and applicable law.

21. Third-Party Services And Links

Our website may contain links to or information about third-party websites, products, services, instructors, accommodations, travel providers, payment processors, booking platforms, affiliates, or other businesses.

DarkZen does not control third-party websites or services.

We are not responsible for:

Their privacy practices;
Their availability;
Their security;
Their products or services;
Their representations;
Their policies; or
Their acts or omissions.

Your dealings with third parties are between you and the third party.

22. Affiliate Links

DarkZen may participate in affiliate programs.

Where an affiliate relationship exists, DarkZen may receive a commission or other compensation when you make a qualifying purchase through an affiliate link.

Affiliate relationships do not increase the price you pay unless expressly stated otherwise.

We aim to recommend products and services that are relevant to our audience; however, you should independently evaluate third-party products and services before purchasing.

All original content appearing on the DarkZen website or created by DarkZen, including but not limited to:

Text;
Articles;
Books;
Workbooks;
Journal content;
Course materials;
Graphics;
Logos;
Branding;
Photographs;
Videos;
Audio;
Illustrations;
Designs;
Layouts;
Marketing materials;
Downloads;
Digital products; and
Other original materials

is owned by DarkZen or used with permission and is protected by applicable intellectual-property laws.

Except as expressly permitted, you may not reproduce, distribute, modify, publish, transmit, sell, sublicense, create derivative works from, publicly display, commercially exploit, or otherwise use DarkZen’s intellectual property without prior written permission.

Purchasing a book, workbook, course, retreat, or other product does not transfer ownership of DarkZen’s intellectual property.

24. Personal Use License For Purchased Materials

Where we provide downloadable, digital, educational, or workbook materials, your purchase generally grants you a limited, non-exclusive, non-transferable license to use the materials for your personal, non-commercial purposes.

You may not:

Resell the materials;
Share unauthorized copies;
Upload them to file-sharing platforms;
Distribute them publicly;
Reproduce substantial portions commercially;
Use them to create competing products;
Remove copyright or ownership notices; or
Represent them as your own work.

25. Trademarks And Branding

DarkZen names, logos, slogans, branding, graphics, and other brand elements may constitute trademarks, service marks, trade names, or protected intellectual property.

Nothing on the website grants you a license to use DarkZen branding without written permission.

26. User-Generated Content

If you submit reviews, testimonials, photographs, videos, comments, feedback, social-media content, or other material to DarkZen (“User Content”), you represent that:

You own or have the necessary rights to submit it;
You have permission from identifiable individuals appearing in the content where required;
The content does not violate another person’s rights;
The content is not unlawful, defamatory, threatening, obscene, fraudulent, or misleading; and
The content does not contain confidential information that you do not have permission to disclose.

By submitting User Content, you grant DarkZen a non-exclusive, worldwide, royalty-free license to use, reproduce, publish, display, adapt, edit, and distribute that content for legitimate business, marketing, promotional, educational, and website purposes, subject to applicable law.

27. Testimonials And Results

Testimonials represent individual experiences and are not guarantees of future results.

Results from yoga, meditation, wellness practices, retreats, educational programs, books, or other DarkZen products and services will vary between individuals.

We do not guarantee any particular physical, emotional, psychological, spiritual, professional, financial, or other outcome.

28. Social Media

DarkZen may maintain social-media accounts and may interact with users through third-party platforms.

Your use of those platforms remains subject to the applicable platform’s terms and policies.

We are not responsible for changes to third-party social-media platforms, their functionality, availability, algorithms, content, privacy practices, or policies.

29. Privacy

Your use of our website and services is also governed by our Privacy Policy.

Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information.

The Privacy Policy forms part of the overall framework governing your relationship with DarkZen, but does not replace these Terms.

30. Data Protection

DarkZen will process personal data in accordance with applicable privacy and data-protection laws.

Where applicable, this includes India’s Digital Personal Data Protection Act, 2023 and associated rules and regulations. The Act establishes a framework concerning the processing of digital personal data.

The Digital Personal Data Protection Rules, 2025 have also been published by the Ministry of Electronics and Information Technology.

Additional privacy requirements may apply depending on where our customers are located and which services they use.

31. Electronic Communications

When you communicate with DarkZen electronically, including by email, website forms, messaging services, or other electronic means, you consent to receiving communications electronically where permitted by law.

Booking confirmations;
Receipts;
Customer-service communications;

Administrative notices;
Policy updates;
Transactional messages; and
Marketing communications where you have provided appropriate consent.

You may unsubscribe from promotional communications using the available unsubscribe mechanism.

Transactional and legally necessary communications may continue after you unsubscribe from marketing communications.

If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for activities occurring through your account.

You must notify us promptly if you believe your account has been compromised.

We may suspend accounts where we reasonably suspect unauthorized use, fraud, security concerns, or violation of these Terms.

Create competing retreat materials;

34. Disclaimers

To the maximum extent permitted by applicable law, the website and its content are provided on an “as available” and “as is” basis.

We do not guarantee that:

The website will be error-free;
Information will always be current;
Third-party services will be uninterrupted;
All products or services will always be available;
The website will be free from viruses or other harmful components; or
A particular product, retreat, program, or experience will produce a particular result.

Nothing in these Terms excludes or limits a legal guarantee, consumer right, or other protection that cannot legally be excluded.

35. Limitation Of Liability

To the maximum extent permitted by applicable law, DarkZen and its owners, officers, employees, contractors, agents, representatives, affiliates, and service partners will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from your use of the website or participation in our services.

This may include, where legally permissible:

Loss of income;
Loss of profits;
Loss of business;
Loss of opportunity;
Loss of data;
Travel disruption;
Additional travel expenses;
Personal-property loss;
Accommodation expenses;
Consequential losses; or
Other indirect losses.

To the extent permitted by law, DarkZen’s aggregate liability arising from a particular purchase or service will not exceed the amount actually paid by you to DarkZen for the specific product or service giving rise to the claim.

This limitation does not apply where liability cannot lawfully be limited or excluded, including liability that applicable law prohibits us from excluding or limiting.

36. Indemnification

To the maximum extent permitted by law, you agree to indemnify and hold harmless DarkZen and its owners, officers, employees, contractors, agents, affiliates, and service partners from claims, losses, liabilities, damages, costs, and reasonable expenses arising from:

Your breach of these Terms;
Your unlawful conduct;
Your misuse of our website;
Your violation of another person’s rights;
Your User Content;
Your intentional or negligent conduct;
Your violation of applicable law; or
Your participation in activities in circumstances where you failed to follow reasonable instructions or disclosed safety requirements.

This provision does not require you to indemnify us for our own conduct to the extent prohibited by applicable law.

38. Governing Law And Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the DarkZen website, or a purchase or service provided directly by Dark Zen, L.L.C. shall be governed by and construed in accordance with the laws of the State of Nevada, United States, without regard to its conflict-of-laws principles, except to the extent that applicable mandatory law requires otherwise.

Subject to applicable law, you agree that any legal action or proceeding arising out of or relating to these Terms or your relationship with DarkZen shall be brought in the appropriate state or federal courts located in Las Vegas, Clark County, Nevada, USA, and you consent to the personal jurisdiction and venue of those courts.

Nothing in this section is intended to deprive a consumer of any mandatory rights or protections available under the laws that apply to the consumer or transaction. Where applicable law gives a consumer the right to bring a claim in another jurisdiction, that right is not waived by these Terms.

Where a particular retreat, program, product, or service is provided by an independent third-party provider, disputes concerning that provider’s own services may also be subject to the provider’s separate terms and applicable law.

If any portion of this provision is determined to be unenforceable in a particular jurisdiction, the remainder of the Terms will remain in effect to the maximum extent permitted by law.

39. Termination

We may suspend or terminate your access to the website or services if you materially violate these Terms, engage in fraudulent or unlawful activity, create a security risk, or otherwise misuse our services.

Termination does not eliminate obligations that by their nature should survive termination, including intellectual-property rights, payment obligations, limitations of liability, indemnification, dispute provisions, and other applicable provisions.

40. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable where legally permitted.

If modification is not possible, the affected provision will be severed, and the remaining provisions will continue in effect.

41. No Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision later.

Any waiver must be made in writing where required by law.

42. Assignment

You may not transfer or assign your rights or obligations under these Terms without our prior written consent, except where such restriction is prohibited by applicable law.

DarkZen may transfer or assign its rights and obligations in connection with a merger, acquisition, restructuring, sale of assets, or similar business transaction, subject to applicable law.

These Terms, together with any applicable:

Privacy Policy;
Refund & Cancellation Policy;
Shipping & Returns Policy;
Retreat-specific terms;
Booking confirmation;
Participant waiver;
Product-specific terms; and
Other expressly incorporated policies

constitute the agreement governing your use of the applicable DarkZen service.

If a specific written agreement applies to a particular service, that agreement may supplement or, where expressly stated, supersede portions of these Terms.

44. Changes To These Terms

We may update these Terms from time to time to reflect changes in our services, business practices, technology, applicable law, or regulatory requirements.

The updated version will be posted on this website with a revised “Last Updated” date.

Where required by law, we will provide additional notice of material changes.

Your continued use of the website after an updated version becomes effective constitutes acceptance of the revised Terms to the extent permitted by law.

For purchases already completed, changes to these Terms will not retroactively alter contractual rights where prohibited by applicable law.

45. Survival

Provisions concerning intellectual property, payment obligations, disclaimers, limitations of liability, indemnification, dispute resolution, governing law, and any other provisions intended by their nature to survive termination will survive termination of these Terms.
